1. Acceptance of Terms
By accessing or using the Byndbit website (byndbit.com) or engaging our software development services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.
2. Services
Byndbit provides custom software development, mobile application development, SaaS product development, and related technology services. The specific scope, deliverables, timelines, and pricing for each project are agreed upon in a separate Statement of Work (SOW) or service agreement between Byndbit and the client.
3. Intellectual Property
Upon receipt of full payment for a project, all custom code, designs, and deliverables created specifically for you become your property. Byndbit retains ownership of any pre-existing tools, libraries, frameworks, or proprietary components used in the delivery of services. Open-source components remain subject to their respective licences.
4. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of an engagement. This obligation survives termination of any service agreement. Non-disclosure agreements (NDAs) may be signed on request prior to commencing any project discussions.
5. Payment Terms
Payment terms are specified in individual project agreements. Typically, Byndbit operates on a milestone-based billing model. Invoices are due within 15 days of issue unless otherwise agreed. Late payments may incur a monthly interest charge as specified in the project agreement.
6. Warranties & Disclaimers
Byndbit warrants that services will be performed with reasonable skill and care. Software delivered is warranted against material defects for 30 days post-delivery. Beyond this, the website and services are provided "as is" without further warranties, express or implied, including fitness for a particular purpose.
7. Limitation of Liability
To the maximum extent permitted by law, Byndbit's total liability for any claim arising from our services shall not exceed the total fees paid by you in the three months preceding the claim. Byndbit shall not be liable for indirect, incidental, special, or consequential damages.
8. Termination
Either party may terminate a service agreement with 14 days' written notice. Upon termination, you are responsible for payment of all work completed up to the termination date. Byndbit will provide all deliverables completed at that point.
9. Governing Law
These terms are governed by the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Kerala, India.
